This Mutual Non-Disclosure Agreement ("Agreement") is entered into by and between iCollecta, LLC ("iCollecta"), including its product SlabLab, and the undersigned party ("Recipient"), effective as of the date signed below.
The parties wish to explore a potential business relationship, partnership, investment, or engagement (the "Purpose"). In connection with the Purpose, each party may disclose to the other certain confidential and proprietary information.
"Confidential Information" means any non-public information disclosed by either party, whether oral, written, or electronic, including: business plans, strategies, and financial information; product designs, software, and technology; pitch materials and product roadmaps; customer and vendor information; pricing; trade secrets; and the existence and terms of discussions between the parties.
Each party agrees to (a) hold the other's Confidential Information in strict confidence; (b) not disclose it to any third party without prior written consent; (c) use it solely for the Purpose; and (d) protect it with at least the same care used for its own confidential information.
Confidential Information does not include information that is publicly available through no fault of the Recipient, independently developed without use of the other's information, or lawfully received from a third party.
This Agreement remains in effect for three (3) years from the effective date. Upon request, each party shall return or destroy the other's Confidential Information.
No license to any intellectual property is granted by this Agreement. Neither party is obligated to enter into any further agreement. This Agreement does not prevent either party from independently developing similar products, so long as Confidential Information is not used.
This Agreement is governed by the laws of the State of South Carolina. The undersigned confirms that their typed signature below, submitted electronically, constitutes a legally binding signature to the fullest extent permitted by applicable law.
